Welcome to Kepsten Inc. ("Kepsten," "we," "us," or "our").

These Terms & Conditions ("Terms") govern your access to and use of the Kepsten website, mobile applications, platform, marketplace, communication features, booking services, payment functionality, and related services available through https://kepsten.com (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read and understood these Terms and agree to comply with them.

If you do not agree to these Terms, please do not use the Service.

These Terms apply to users accessing the Kepsten Service in the United States. Separate terms may apply to services provided through other Kepsten country-specific websites.

1. Definitions

For purposes of these Terms:

"Kepsten," "Company," "we," "us," or "our" means Kepsten Inc.

"Service" means the Kepsten website, mobile applications, software, technology platform, marketplace, booking functionality, payment functionality, communication tools, account functionality, and related services.

"User," "you," or "your" means any individual or legal entity accessing or using the Service.

"Customer" means a User who requests, books, purchases, or receives services through the Kepsten platform.

"Professional," "Provider," or "Vendor" means an independent service provider or business offering services through the Kepsten platform.

"Platform" means the technology platform operated by Kepsten that facilitates interactions between Customers and Professionals.

2. About Kepsten

Kepsten operates a technology platform that helps Customers discover, request, schedule, manage, and pay for services offered by independent Professionals.

Unless expressly stated otherwise, Kepsten does not itself provide the physical services offered by Professionals.

Professionals are independent businesses or contractors and are responsible for the services they provide, their qualifications, licenses, insurance, pricing, availability, conduct, and compliance with applicable laws.

3. Eligibility

You must be at least 18 years old to use the Kepsten Service unless otherwise permitted by applicable law or expressly authorized by Kepsten.

By using the Service, you represent that:

1. You are legally capable of entering into these Terms.
2. The information you provide is accurate and current.
3. You will comply with all applicable laws and regulations.
4. You will not use the Service for unlawful or fraudulent purposes.

4. Account Registration

Certain features of the Service require you to create an account.

You agree to provide accurate, complete, and current information when registering and maintaining your account.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You must notify Kepsten promptly if you believe your account or credentials have been compromised or accessed without authorization.

Kepsten may suspend or terminate an account where we reasonably believe the account has been used fraudulently, unlawfully, abusively, or in violation of these Terms.

5. Mobile Phone Number and Account Verification

Kepsten may request your mobile phone number for purposes including:

1. Account registration
2. Login verification
3. Password recovery
4. Account authentication
5. Security verification
6. Fraud prevention
7. Other user-initiated account-security activities

You represent that you are authorized to provide and use the mobile phone number submitted to Kepsten.

You are responsible for keeping your mobile phone number associated with your account accurate and current.

6. SMS / Text Messaging Terms

6.1 Program Description

Kepsten may provide an SMS messaging program for account authentication and security.

Under this program, Kepsten may send one-time passcodes ("OTP") and other transactional account-security messages to Users who initiate an authentication or verification request.

Examples include requesting a verification code during:

1. Account registration
2. Login
3. Password recovery
4. Account verification
5. Other user-initiated security verification

The SMS program described in these Terms is not a marketing or promotional messaging program.

6.2 User-Initiated Messages

SMS authentication messages are sent in response to an action initiated by the User.

For example, when you enter your mobile phone number and request a verification code, Kepsten may send a one-time authentication code to the mobile number you provided.

Kepsten does not use this OTP messaging program to send unsolicited advertising, promotional offers, or third-party marketing messages.

6.3 SMS Consent

When you voluntarily provide your mobile phone number and request a verification code, you authorize Kepsten to send the requested authentication SMS to that number for account verification and security purposes.

This authorization applies only to the applicable authentication and security communications initiated by you.

SMS consent for this program is separate from acceptance of these Terms and Conditions and our Privacy Policy.

Nothing in these Terms is intended to substitute for or conceal the actual SMS consent mechanism presented to Users during the applicable account or verification process.

6.4 Message Frequency

Message frequency varies based on your account activity and the number of verification or security requests you initiate.

Authentication messages are generally sent only when requested by you.

6.5 Message and Data Rates

Message and data rates may apply.

Your mobile carrier's standard messaging, data, and other applicable charges may apply to SMS messages.

Kepsten is not responsible for charges imposed by your mobile carrier.

6.6 STOP

To stop receiving SMS messages, reply STOP to the applicable message where supported.

Because authentication messages may be required for certain account-security functions, opting out of SMS communications may prevent you from using certain SMS-based verification features.

6.7 HELP

For help with SMS communications, reply HELP where supported or contact Kepsten Support at support@kepsten.com.

6.8 No Marketing or Promotional SMS

The SMS program described in these Terms is intended for transactional account authentication and security.

Kepsten does not use this particular SMS program to send:

1. Advertising messages
2. Promotional offers
3. Marketing campaigns
4. Third-party promotional content
5. Affiliate marketing messages

6.9 Mobile Information and Messaging Consent

Kepsten does not sell, rent, trade, or otherwise provide your mobile phone number, SMS opt-in information, or messaging consent to third parties or affiliates for their own marketing or promotional purposes.

Kepsten does not purchase mobile phone numbers or SMS consent information from third parties for marketing purposes.

Where information is shared with a service provider or technology provider to operate, secure, support, or provide the Service, such sharing is limited to the applicable business purpose and does not authorize those parties to use your mobile number or SMS consent for their own marketing or promotional purposes.

6.10 SMS Consent Is Not Transferable

Your consent to receive Kepsten SMS messages applies specifically to Kepsten and the messaging program for which you provided consent.

Your consent is not sold, transferred, assigned, or used to enroll you in unrelated third-party messaging programs.

6.11 Carriers

Wireless carriers are not liable for delayed or undelivered messages.

Message delivery may be affected by factors outside Kepsten's control, including carrier networks, wireless coverage, device availability, network congestion, and other technical conditions.

7. Privacy Policy

Your privacy is important to us.

Our collection, use, disclosure, retention, and protection of personal information are described in our U.S. Privacy Policy.

Our Privacy Policy forms an important part of your use of the Service and should be read together with these Terms.

8. Service Requests and Bookings

Kepsten may allow Customers to request and book services from Professionals through the Platform.

Service availability, pricing, scheduling, estimates, and other booking details may vary depending on the Professional, location, service category, and scope of work.

A request submitted through the Platform does not necessarily constitute a confirmed booking unless confirmation is provided by Kepsten or through the Platform.

9. Professionals Are Independent Service Providers

Professionals listed or operating through Kepsten are independent businesses or contractors unless expressly stated otherwise.

Kepsten does not generally employ, supervise, control, or direct Professionals.

Professionals are responsible for:

1. Their services
2. Their work quality
3. Their qualifications
4. Their licenses and permits
5. Their insurance
6. Their pricing
7. Their availability
8. Their conduct
9. Their communications
10. Their compliance with applicable laws

Kepsten does not guarantee that a Professional is licensed, insured, qualified, or suitable for a particular service unless Kepsten expressly states otherwise.

10. Customer and Professional Information

To facilitate a requested service, booking, payment, scheduling, customer support, or other transaction, Kepsten may share information necessary for the applicable transaction with the relevant Professional or service provider.

Such information sharing is limited to legitimate business and service-fulfillment purposes.

Sharing information necessary to fulfill a service request does not authorize a Professional or other third party to use your mobile phone number, SMS opt-in information, or messaging consent for their own marketing or promotional purposes.

Kepsten's handling of personal information is further described in the U.S. Privacy Policy.

11. Booking and Platform Communication

Where required by the Platform, service requests, bookings, payments, scheduling, modifications, cancellations, and booking-related communications should be conducted through the Kepsten Platform.

Users and Professionals should not circumvent the Platform's booking, payment, or communication systems where doing so would violate Kepsten policies or applicable agreements.

Kepsten may limit support, refunds, guarantees, or dispute assistance for transactions conducted outside the Platform.

12. Payment and Pricing

Where payment functionality is available, payments must be completed through the payment methods supported by the Kepsten Platform.

Prices displayed through the Platform may be estimates and may vary based on the final scope of work.

If additional services, materials, labor, or other charges are required, the Professional may provide an updated quote or invoice through the Platform.

Users should review applicable pricing and booking information before approving additional charges.

Payment processing may be performed by third-party payment processors. Such providers may have their own terms and privacy policies.

13. Cancellations and Refunds

Cancellation and refund eligibility may depend on:

1. The booking status
2. Payment status
3. Service type
4. Applicable cancellation policy
5. Professional policies
6. The circumstances of the cancellation
7. Applicable law

Where applicable, cancellation and refund information will be presented through the Platform.

Nothing in these Terms limits any mandatory refund or consumer rights provided by applicable law.

14. Satisfaction or Service Guarantees

Where Kepsten expressly offers a satisfaction guarantee or other protection, the specific terms and limitations of that guarantee will apply.

A guarantee may not apply to:

1. Off-platform transactions
2. Cash payments
3. Unapproved additional work
4. Transactions not completed through the Platform
5. Damage or loss unrelated to the covered service
6. Circumstances excluded under the applicable guarantee

Kepsten does not provide insurance for services performed by independent Professionals unless expressly stated otherwise.

15. Prohibited Activities

You agree not to:

1. Use the Service for unlawful, fraudulent, or abusive purposes.
2. Provide false, misleading, or fraudulent information.
3. Impersonate another person or business.
4. Access another person's account without authorization.
5. Attempt to bypass or compromise Platform security.
6. Introduce malware, malicious code, or harmful software.
7. Interfere with the operation of the Service.
8. Use the Platform to send spam or unsolicited communications.
9. Use Kepsten's communication systems for unlawful activities.
10. Scrape, copy, reproduce, or commercially exploit Platform data without authorization.
11. Circumvent Kepsten's payment or booking systems.
12. Use the Service in violation of applicable laws or regulations.

16. Third-Party Services

The Service may integrate with or depend upon third-party services, including:

1. Payment processors
2. Cloud hosting providers
3. Authentication providers
4. SMS and communication providers
5. Analytics providers
6. Mapping providers
7. Technology providers

Third-party services may have their own terms, privacy policies, and service limitations.

Kepsten is not responsible for the independent policies or practices of third-party services except as required by applicable law.

17. Intellectual Property

The Kepsten Service and its original content, software, features, functionality, branding, logos, trademarks, graphics, designs, and other materials are owned by or licensed to Kepsten and are protected by applicable intellectual-property laws.

Except as expressly permitted by Kepsten or applicable law, you may not:

1. Copy
2. Reproduce
3. Modify
4. Distribute
5. Reverse engineer
6. Create derivative works from
7. Sell
8. License
9. Commercially exploit

any portion of the Service or its proprietary materials.

18. User Content

If you submit reviews, photographs, descriptions, messages, feedback, or other content through the Platform ("User Content"), you are responsible for ensuring that you have the necessary rights to submit that content.

You grant Kepsten the rights reasonably necessary to host, store, process, display, and use User Content to operate and improve the Service, subject to applicable law and our Privacy Policy.

You must not submit content that is unlawful, fraudulent, defamatory, infringing, threatening, abusive, or otherwise prohibited by these Terms.

19. Account Suspension and Termination

Kepsten may suspend, restrict, or terminate your access to the Service if we reasonably believe that:

1. You violated these Terms.
2. You violated applicable law.
3. Your activity creates a security risk.
4. Your activity involves fraud or abuse.
5. Your activity harms another User or Professional.
6. Your activity threatens the integrity of the Platform.
7. Your account is being used for unauthorized purposes.

You may stop using the Service at any time.

Provisions that by their nature should survive termination will continue to apply after termination.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

Kepsten does not guarantee that:

1. The Service will always be available.
2. The Service will be uninterrupted.
3. The Service will be error-free.
4. Information provided through the Service will always be complete or accurate.
5. A particular Professional will be available.
6. A particular service will be available.
7. A Professional will meet a Customer's expectations.
8. The Service will be compatible with every device or system.

Nothing in these Terms excludes or limits rights or warranties that cannot legally be excluded under applicable law.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Kepsten and its officers, directors, employees, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of or inability to use the Service.

This includes, to the extent permitted by law, losses arising from:

1. Service interruptions
2. Third-party services
3. Professional conduct
4. Professional services
5. Unauthorized account activity
6. Off-platform transactions
7. Loss of data
8. Loss of profits
9. Business interruption

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

22. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Kepsten, its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from:

1. Your violation of these Terms.
2. Your misuse of the Service.
3. Your violation of applicable law.
4. Your violation of another person's rights.
5. Your User Content.
6. Your transactions or interactions with Professionals.
7. Your unauthorized or unlawful use of the Platform.

23. Dispute Resolution

If you have a concern or dispute regarding the Service, you agree to first contact Kepsten and provide us with a reasonable opportunity to resolve the issue informally.

Nothing in this section prevents you from exercising rights or remedies that cannot legally be waived under applicable law.

24. Governing Law

These Terms and your use of the Service will be governed by applicable laws of the United States and the applicable state law governing the relevant transaction or relationship, without regard to conflict-of-law principles, except where applicable law provides otherwise.

Nothing in these Terms is intended to deprive consumers of mandatory rights or protections available under applicable law.

25. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or interpreted to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

26. Waiver

Kepsten's failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

A waiver of one breach does not constitute a waiver of any subsequent breach.

27. Changes to These Terms

Kepsten may update these Terms from time to time.

When material changes are made, we may provide notice through the Service or other reasonable means.

The updated Terms will be published on this page with a revised Last Updated date.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
